VetCheck Terms and Conditions

1. Introduction

Welcome to VetCheck! These Terms and Conditions ("Terms") govern your use of our services ("Services"). By using our Services, you agree to these Terms. Please read them carefully.

2. Definitions

"We," "Us," and "Our" refer to VetCheck.
"You" and "Your" refer to the user of our Services.
"Services" include our website, applications, and any other products or services we offer.
"Practice data" refers to any data shared between third-party platforms and VetCheck.

3. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use our Services. If you are a minor, you must obtain consent from your parent or guardian.

4. Account Registration

To use certain features, you may need to create an account. You agree to provide accurate and complete information and keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials, paying the VetCheck licensing fees in a timely manner, and for all activities that occur under your account.

5. Use of Services

You agree to use our Services only for lawful purposes. You must:

  • Comply with all applicable laws and regulations.
  • Respect our intellectual property rights and those of others.
  • Avoid transmitting any harmful or disruptive content through our Services.
  • Use VetCheck exclusively for professional veterinary and pet healthcare purposes.
  • Refrain from using VetCheck for resale or unauthorized purposes.
  • Honor others' privacy and intellectual property rights.
  • Keep your account secure and not share your login details.
  • Ensure that your use of VetCheck complies with local laws and regulations.

5.1 Access via Third Party Platforms and Practice Management Systems

VetCheck is not affiliated with or sponsored by any third-party veterinary practice management systems or their affiliates.

When accessing VetCheck from a third-party practice management system, you:

  • Grant permission to VetCheck to extract and use the veterinary practice data.
  • Agree that VetCheck or the third-party practice management system shall not be liable (including, but not limited to, for any direct, indirect, special, punitive, incidental, or consequential damages or losses) with respect to the use of Practice Data.
  • Acknowledge that VetCheck and the third-party practice management systems expressly disclaim any warranties with respect to Practice Data.
  • Shall not make any claims against VetCheck or third-party practice management software.
  • Confirm your Pet Owner clients acknowledge and agree that the limitations, disclaimers, exclusions, and agreements in favor of VetCheck and third-party practice management systems will be binding on you.

5.2 User License and Payment Terms

License Grant: Subject to your compliance with these Terms and payment of all applicable fees, VetCheck grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your professional veterinary practice activities only.

License Restrictions: Your license to use VetCheck is personal to you and your authorized practice only. You may not:

  • Share, transfer, sublicense, or assign your user credentials or license to any third party
  • Allow multiple users to access the Services using a single user account
  • Provide access to the Services to any person or entity not covered by your paid license
  • Use the Services on behalf of, or provide access to, any third party without obtaining separate licensing
  • Circumvent any technical measures designed to control access to the Services

Payment Obligations:

  • All licensing fees must be paid in full and on time according to your selected payment schedule
  • Failure to pay licensing fees when due may result in immediate suspension or termination of your access
  • You are responsible for all applicable taxes related to your use of the Services
  • No refunds will be provided for early termination or cancellation of Services

License Compliance and Enforcement:

  • VetCheck reserves the right to monitor usage patterns to ensure compliance with licensing terms
  • VetCheck will notify you if your usage patterns exceed those typical of a standard practice with your licensed number of users, and may require you to upgrade to an appropriate license tier
  • Any breach of licensing restrictions, including unauthorized sharing or access, constitutes a material violation of these Terms
  • Upon discovery of license violations, VetCheck may immediately suspend or terminate your account without notice
  • You agree to cooperate with any reasonable audit or investigation of license compliance

Consequences of License Violation:
Unauthorized sharing, distribution, or misuse of your VetCheck license may result in:

  • Immediate termination of your account and access to Services
  • Legal action to recover damages and attorney fees
  • Liability for additional licensing fees for unauthorized users
  • Permanent prohibition from future use of VetCheck Services

Multi-User Practices:
If your veterinary practice requires multiple users, you must obtain appropriate multi-user licensing. Contact VetCheck to discuss enterprise or multi-practitioner licensing options that suit your practice's needs.

License Fee Structure:
The Subscription Fee is calculated based on the number of named user profiles with active (non-archived) status in VetCheck during each billing period (“Named Vet Licenses”). Each Named Vet License is billed at the agreed per-user rate. Additional profiles created or reactivated beyond the estimated count will automatically result in corresponding licence fee adjustments for the billing cycle.

Enterprise License Terms:
For Enterprise-level clients requiring services beyond the standard packages, pricing and terms are determined through a separate formal quote. The terms and fees set out in that quote will prevail over any general pricing structure referenced herein.

PMS Access and Named User License Calculation

Permission to Access Practice Management System (PMS): By using VetCheck services, you expressly grant VetCheck permission to access your Practice Management System (PMS) user database solely for the purpose of identifying and counting eligible users for licensing fee calculation.

Named User License Pricing: Licensing fees are calculated based on the number of active users in your Practice Management System (PMS) who have or could potentially have access to VetCheck services. This calculation method ensures accurate pricing based on your practice's actual user base.

Inclusion Criteria: All active users in your PMS are eligible for VetCheck licensing regardless of their current intended use of the platform. This includes veterinarians, veterinary technicians, practice managers, administrative staff, and any other personnel with PMS access who could potentially access VetCheck features through system integration or workflow requirements.

No "Intended Use" Exemptions: Licensing fees apply to all eligible PMS users regardless of whether you currently intend for them to use VetCheck features. This policy ensures:

  • Consistent pricing across all practices
  • Coverage for evolving workflow needs and staff responsibilities
  • Compliance with software licensing standards
  • Protection against unauthorized access

User Management Responsibility: To control licensing costs, you must actively manage your PMS user database by:

  • Removing inactive or terminated employees from the PMS entirely
  • Deactivating users who no longer require PMS access
  • Regularly auditing your user list to ensure accuracy
  • Understanding that all active PMS users represent potential VetCheck access points

Technical Integration Reality: Due to the integrated nature of VetCheck with practice management systems, distinguishing between "VetCheck users" and "non-VetCheck users" within the same PMS environment is not technically feasible or supported. All active PMS users have potential access to VetCheck functionality through normal system operations.

Data Use Limitation: Information accessed from your PMS user database will be used exclusively for license calculation and billing purposes. VetCheck will not use this information for any other purpose without your explicit consent.

Billing Accuracy: VetCheck will provide transparent reporting of user counts used for billing calculations upon request. Any discrepancies in user counts should be reported immediately to ensure billing accuracy.

5.3 Prohibited Uses under these licenses

  • Use in printed materials.
  • Use in a document created outside of VetCheck other than as a VetCheck share link or social media image.
  • Download of VetCheck content on a standalone basis.
  • Install or use of the VetCheck content in more than one location or as a copy on a network server or web server, outside of VetCheck or the VetCheck API requirements, for use by other users.

6. User Content

You are responsible for the content you post or share. Do not post illegal, harmful, or offensive content. We can remove content at our discretion.

7. Privacy and Data Protection

We collect and use data as outlined in our Privacy Policy. You are responsible for obtaining client consent for sharing their data with VetCheck. Comply with GDPR and other applicable data protection laws.

8. Intellectual Property

We own all intellectual property rights to our Services and content. VetCheck content is protected by copyright and other IP laws. You may use VetCheck materials for personal, educational, and non-commercial use only. Do not sell or distribute VetCheck content without permission.

9. Disclaimers

VETERINARY DOCUMENTATION DISCLAIMER AND LIMITATION OF LIABILITY

PURPOSE AND SCOPE: VetCheck is a documentation platform for informational and record-keeping purposes only. VetCheck allows veterinary professionals to document their own independently calculated medication dosages, treatment protocols, and clinical decisions but does not provide veterinary medical advice, diagnosis, treatment recommendations, or diagnostic services.

NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT: VetCheck documents are not a substitute for informed consent, independent clinical assessment, or professional veterinary judgment and should not be relied upon for any specific medical purpose. VetCheck is not intended to advise or resolve legal, medical, or financial issues, establish a veterinarian-client-patient relationship, or establish patient consent.

USER-GENERATED CONTENT AND CALCULATIONS: All dosages, concentrations, treatment plans, medication calculations, and medical information entered into VetCheck represent the independent professional judgment and calculations of the licensed veterinary user. VetCheck merely provides a platform to document these user- determined values and does not verify, validate, or endorse any medical information entered by users.

SOLE RESPONSIBILITY FOR CALCULATIONS: Users are solely responsible for independently calculating ALL dosages, drug concentrations, dilution ratios, infusion rates, and treatment parameters using their own clinical knowledge, reference materials, and calculation methods. All data accuracy, medication accuracies, calculation accuracies, chart tasks, and treatment decisions are solely the responsibility of the user.

NO WARRANTIES OR REPRESENTATIONS: To the extent permitted by law, we do not make any warranties or representations as to the accuracy, completeness, or reliability of any information on VetCheck, including user-generated content or third-party content.

DIGITAL SIGNATURE LIMITATIONS: While VetCheck offers the convenience of digital signatures for document signing, their legal equivalence to handwritten signatures isn't universally guaranteed. The acceptability and legal weight of digital signatures can vary depending on jurisdictional regulations and specific legal requirements. Users are ultimately responsible for ensuring compliance with relevant legal standards and seeking appropriate legal guidance when necessary.

COMPREHENSIVE LIABILITY LIMITATION: VetCheck explicitly states that it cannot and will not be held responsible for:

  • User errors or input mistakes
  • Lost data or system failures
  • Medication calculation errors or dosing mistakes
  • Chart task errors or documentation mistakes
  • Document, medical, or treatment errors relating to patients
  • User-generated content or third-party content
  • Any adverse patient outcomes, medication errors, or clinical mistakes
  • Any direct, indirect, incidental, consequential, punitive, or special damages arising from the use, misuse, or inability to use this documentation platform

This includes, without limitation, patient injury, death, malpractice claims, professional liability, loss of license, or any other damages regardless of the theory of liability.

PROFESSIONAL STANDARD OF CARE: Use of VetCheck does not modify, replace, or substitute for the veterinary professional's independent clinical judgment, duty of care, obligation to perform accurate calculations, or adherence to accepted standards of veterinary practice. Users must comply with all applicable laws, regulations, licensing requirements, and professional guidelines.

ASSUMPTION OF RISK: Users acknowledge and agree that they use VetCheck services at their own risk and that they are licensed veterinary professionals qualified to make independent medical calculations and clinical judgments.

By using VetCheck, you acknowledge that you have read, understood, and agree to these terms.

10. Limitation of Liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages arising from your use of our Services.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our Services or violation of these Terms. You agree to indemnify and hold harmless VetCheck, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising out of or related to the use or reliance on VetCheck Services.

12. Termination

You may terminate at any time by giving 30 days' notice. You may cancel your VetCheck account at any time; however, there are no refunds for cancellation. We may terminate or suspend your account at any time, with or without cause, without prior notice, for reasons including, but not limited to, failure to pay your VetCheck licensing fees. Upon termination, your right to use our Services will immediately cease, and any data you have stored on our platform may no longer be accessible. Your VetCheck-generated documents will remain accessible for the legal requirements of keeping pet records only.

Document Access & Practice Responsibility
All documents generated through VetCheck are stored as secure, encrypted share links, accessible via your Practice Management System (PMS) or directly through the VetCheck platform. If these documents form part of your legal obligation to maintain accurate and complete pet medical records, it is the responsibility of the clinic to ensure these links are maintained and preserved within your PMS — including during any data migration to a new system. VetCheck does not guarantee access to these links post-termination, except for any documents and links that already exist within your practice management system. We strongly recommend confirming with your PMS provider that all VetCheck links and records are properly retained and remain accessible as part of your offboarding and data migration process.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of any significant changes by posting the new Terms on our website or via email communication. Your continued use of our Services after the changes take effect signifies your acceptance of the new Terms.

14. Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is due to causes beyond our reasonable control, including but not limited to acts of God, war, strikes, or shortages of materials.

15. Entire Agreement

These Terms constitute the entire agreement between you and VetCheck regarding your use of our Services and supersede any prior agreements between you and us.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms will remain in full force and effect.

17. Waiver

No waiver of any term or condition of these Terms will be deemed a further or continuing waiver of such term or condition or any other term or condition, and our failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.

18. Governing Law

These Terms are governed by the laws of Australia, Victoria. Any disputes will be resolved in the courts of Australia, Victoria. You are responsible for ensuring that your use of VetCheck complies with local laws and regulations. You should refrain from using VetCheck if you are not permitted by law or regulation.
